- Information appears inaccurate or fraudulent
- A pricing or availability error occurred
- The requested service violates our policies
- Required agreements, deposits, or information were not provided
6. Physical Merchandise Orders
Physical merchandise orders are subject to product availability and successful payment authorization.
Customers are responsible for providing a complete and accurate shipping address.
Bag Leaf Boys Inc. is not responsible for delays or failed deliveries caused by:
- Incorrect customer information
- Carrier delays
- Weather
- Customs processing
- Government restrictions
- Natural disasters
- Events beyond our reasonable control
Returns, exchanges, damaged-item reports, and refund eligibility are governed by our Return and Refund Policy.
7. Digital Products and Beats
Digital products may include beats, instrumentals, stems, music files, templates, documents, graphics, or downloadable content.
Digital purchases are considered delivered when the download, file, access link, license, or delivery instructions are sent or made available.
Purchasing a beat or digital file does not automatically transfer copyright ownership.
Your permitted use is determined by:
- The specific license selected at purchase
- The product description
- Any accompanying license document
- A separate written agreement, when applicable
You may not resell, redistribute, upload, share, sublicense, copy, or claim ownership of a beat, digital product, or file except as specifically permitted by the applicable license.
Exclusive rights are granted only when clearly identified in writing and fully paid.
8. Creative Services and Production
Creative services may require a separate proposal, invoice, contract, scope of work, production agreement, license, or booking agreement.
No production work is required to begin until the applicable:
- Scope has been approved
- Agreement has been signed
- Deposit or payment has cleared
- Required materials and information have been received
Project timelines are estimates unless a firm deadline is expressly guaranteed in writing.
Client delays, missing materials, late approvals, revision requests, scheduling changes, weather, venue restrictions, third-party delays, or expanded project scope may affect delivery dates and pricing.
Additional work outside the agreed scope may require a new estimate, change order, or additional payment.
9. Deposits, Retainers, and Booking Payments
Deposits, retainers, booking payments, and production payments reserve time, personnel, resources, equipment, or project capacity.
Unless a written agreement states otherwise, these payments become non-refundable once planning, scheduling, preparation, production, design, recording, filming, editing, purchasing, travel arrangements, or other work has begun.
A submitted booking form does not hold or confirm a date.
A booking is confirmed only after Bag Leaf Boys Inc. provides written approval and all required agreements and payments have been completed.
10. Cancellations and Rescheduling
Cancellation and rescheduling terms may vary by product, service, event, or project.
For service projects and bookings:
- Requests must be made in writing
- Availability for a replacement date is not guaranteed
- New travel, venue, personnel, equipment, or production costs may apply
- Deposits and completed work may remain non-refundable
- Repeated delays or failure to communicate may result in project closure
When a separate signed agreement contains cancellation or rescheduling rules, that agreement controls.
11. Revisions and Approvals
Revision limits, approval periods, and included deliverables will be defined in the applicable service description or written agreement.
Requests outside the included revision scope may require additional fees.
Once a customer approves a design, edit, mix, master, graphic, video, print file, caption, campaign, or other deliverable, Bag Leaf Boys Inc. is not responsible for errors that were visible or disclosed during the approval process.
12. No Guaranteed Results
Creative services, consulting, promotion, media exposure, branding, content production, artist development, advertising, and strategic recommendations do not guarantee:

This limitation does not apply where prohibited by law.

21. Separate Agreements
Some purchases or services may be governed by separate contracts, licenses, proposals, invoices, production agreements, booking agreements, or statements of work.
When a separate written agreement conflicts with these general Terms, the separate written agreement controls for that specific transaction.
22. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
To the extent permitted by law, disputes relating to these Terms, this website, or a transaction with Bag Leaf Boys Inc. will be handled in the appropriate state or federal courts serving Duval County, Florida.
Florida recognizes that electronic records and electronic contracts cannot be denied legal effect solely because they are electronic.
23. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.
The invalid provision will be limited or modified only as necessary to make it enforceable.
24. No Waiver
Our failure to enforce any part of these Terms does not waive our right to enforce it later.
25. Changes to These Terms
We may update these Terms as our services, products, operations, or legal obligations change.
